Why Linzi for a foreign-owned business
Linzi sits within Zibo, an industrial city in Shandong with a heavy base in chemicals, refining, ceramics and building materials. The Linzi area hosts the Qilu Chemical Industrial Zone, one of Shandong's larger petrochemical clusters, which supports suppliers, engineering firms and specialist service providers. For a foreign founder whose customers are manufacturers, being near the production base can shorten supply chains and make site visits practical.
Zibo is connected by high-speed rail to Jinan and Qingdao, and by expressway to the wider Shandong peninsula, which helps with logistics and client meetings. Costs for office and industrial space are generally lower than in Qingdao or Jinan, though this varies by park and property.
Linzi is not a financial or trade hub, so founders in banking, fintech or consumer internet may find better fits elsewhere. It suits industrial, chemical-adjacent, equipment, environmental services and trading businesses that serve regional manufacturers. Before committing, visit the specific park or building and confirm with the local authorities what activities are permitted at that address.

Entity options: WFOE, joint venture or representative office
Most foreign founders setting up in Linzi choose a wholly foreign-owned enterprise (WFOE), structured as a limited liability company under the PRC Company Law. A WFOE allows full foreign ownership, can invoice customers, hire staff and repatriate profits, and is the standard vehicle for trading, manufacturing and service businesses. Capital, scope and premises requirements depend on the activity and are confirmed during registration.
A Sino-foreign joint venture (JV) may suit sectors where a local partner brings land, licences or customer relationships, or where restrictions apply. JVs require careful shareholder agreements covering governance, deadlock, capital contributions and exit. Some industrial activities are subject to foreign investment negative-list rules, so check the current catalogue before choosing a structure.
A representative office (RO) is the lightest option but cannot sign contracts or earn revenue in its own name; it is mainly used for liaison and market research. For most founders intending to trade or produce, a WFOE is the practical default, with a JV considered when a local partner adds real value.

The five-step registration process
Step 1 — Name pre-approval. Reserve a Chinese company name with the local market regulation authority. Names follow a standard format and must not conflict with existing registrations; prepare several alternatives.
Step 2 — Prepare and file establishment documents. This includes the articles of association, shareholder and legal representative information, registered address proof and business scope. Foreign documents usually need notarisation and, where required, legalisation or an apostille, plus Chinese translations.
Step 3 — Obtain the business licence. The market regulation authority issues the unified business licence once filings are accepted. This is the company's legal birth certificate.
Step 4 — Post-licence registrations. Arrange company seals, tax registration and invoicing setup, foreign exchange registration, and social insurance and housing fund accounts if hiring.
Step 5 — Bank account and capital. Open a basic RMB account and, if needed, a foreign currency capital account, then handle capital contributions in line with the filed articles and foreign exchange rules.
Each step depends on document quality and local processing; timelines vary and should not be treated as fixed.

Documents foreign founders should prepare
Document requirements differ by entity type and authority, but the core set is fairly consistent. Expect to provide:
- Passport copies of the legal representative, directors, supervisors and shareholders.
- Proof of the foreign shareholder's existence — certificate of incorporation or equivalent — notarised and legalised or apostilled as required, with a Chinese translation.
- Articles of association, adapted to PRC company law and the chosen governance structure.
- Registered address documents: lease contract and property ownership certificate, or park-issued address certification.
- Business scope wording aligned with the standard classification used by the registration system.
- Capital and contribution schedule consistent with the articles.
- Appointment documents for the legal representative, directors and supervisor.
Translations should be accurate and consistent across documents; mismatched names or addresses are a common cause of rejection. Keep originals and scanned copies organised. If the shareholder is a company, confirm who has authority to sign and whether board resolutions are needed. Local agents often help prepare Chinese-language filings, but the founder remains responsible for accuracy.

Registered address and business scope
The registered address must be a real, documented premises in Linzi that the authorities accept for the intended activity. Options include serviced offices, incubators and industrial park space. Some parks offer address-only registration for trading or service companies, but this depends on the park and the activity; manufacturing or chemical-related operations generally require a suitable physical site and may need environmental or safety review.
Business scope is written in standard Chinese categories. Keep it focused on what the company will actually do, but broad enough to cover near-term plans, since adding scope later requires a change filing. Regulated activities — chemicals, hazardous goods, food, logistics, construction — may require separate licences before operations begin. Confirm with the local authority whether your proposed scope triggers pre- or post-approval requirements.
If you plan to hire, check that the address can support employee registration and social insurance. For chemical-adjacent activities, verify zoning and park admission rules early, as these can determine whether a site is viable at all.

Banking, tax and visas after registration
After the licence, open a basic RMB bank account; banks vary in their onboarding requirements for foreign-invested companies, and some ask for detailed business explanations and original documents. If you will receive foreign capital, open a foreign currency capital account and complete foreign exchange registration so contributions and conversions follow the rules. Compare banks on service, online banking and international transfer capability rather than rates alone.
Tax registration is handled with the tax authority; the company will need to understand VAT, corporate income tax and invoicing. Most foreign-invested companies engage a local bookkeeping firm for monthly filings, and this is advisable from day one. Confirm whether any incentives apply to your activity or location — do not assume they do.
For foreign staff, work permits and residence permits are applied for through the relevant authorities, typically after the company is established and can sponsor employment. The legal representative may need a work permit if resident in China. Plan visa timing around the registration sequence and keep passport validity sufficient.

Common mistakes to avoid
Choosing an address that does not fit the activity. A cheap address-only registration can fail later when licences or inspections require a real site. Match the address to the scope from the start.
Copying a business scope from another company. Scope wording should reflect your actual operations; unrelated categories can trigger questions and add compliance burden.
Underestimating document formalities. Notarisation, legalisation or apostille, and translation errors cause delays. Prepare these before filing.
Ignoring foreign investment rules. Check the negative list for your sector before assuming full foreign ownership is allowed.
Treating registration as the finish line. Tax, banking, accounting and visa obligations begin immediately; gaps create penalties later.
Relying on verbal promises. Get address, park admission and licensing requirements in writing where possible, and use qualified local professionals for filings. Visit Linzi, meet the park and confirm details before committing capital.
